Welnote Terms of Service

Effective Date: June 15, 2026

These Terms of Service ("Terms") govern your access to and use of Welnote (the "Service"), operated by Blue Commons Inc. ("Blue Commons", "we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

1. About Welnote

Welnote is a healthcare coordination and asynchronous case review platform designed to support healthcare programs, field workers, supervisors, and healthcare professionals operating in low-resource, remote, and humanitarian settings.

Welnote enables the collection, organization, review, and follow-up of patient information within participating healthcare programs.

Welnote is a software platform only.

Blue Commons does not provide medical care, nursing care, diagnosis, treatment, emergency services, ambulance services, hospital services, or telemedicine services through the Service.

2. Eligibility

You may use the Service only if:

  • you are at least 18 years old;
  • you provide accurate registration information;
  • you are authorized to act on behalf of yourself or your organization; and
  • your use of the Service complies with applicable laws and regulations.

Healthcare professionals using the Service must provide accurate credential information when requested.

3. User Accounts

You are responsible for:

  • maintaining the confidentiality of your account credentials;
  • restricting access to your devices;
  • all activities conducted through your account.

You must promptly notify us of any unauthorized use of your account.

Blue Commons may approve, reject, suspend, restrict, or terminate accounts at its discretion, including where verification requirements have not been satisfied.

4. Intended Use

The Service is intended to support:

  • patient follow-up;
  • care coordination;
  • health program operations;
  • case documentation;
  • asynchronous clinical review; and
  • healthcare program management.

The Service is not intended for:

  • medical emergencies;
  • urgent or life-threatening conditions;
  • trauma care;
  • stroke management;
  • surgical decision-making;
  • intensive care management;
  • emergency triage; or
  • situations requiring immediate clinical intervention.

Users must seek appropriate local emergency or clinical services when urgent medical attention is required.

5. Clinical Responsibility

Healthcare decisions remain the responsibility of qualified healthcare professionals and participating healthcare organizations.

Field workers remain responsible for the accuracy of information collected and submitted through the Service.

Healthcare professionals remain responsible for their own professional judgment, recommendations, and clinical decisions.

Participating organizations remain responsible for patient care, supervision, local compliance, and healthcare delivery.

Blue Commons does not review, approve, validate, or guarantee any clinical recommendation, diagnosis, treatment plan, or healthcare outcome generated by users of the Service.

6. Patient Information and Privacy

Use of the Service is also governed by our Privacy Policy.

Organizations and users are responsible for obtaining any patient consents, permissions, or authorizations required under applicable laws, regulations, policies, or program requirements.

Users may access only information that they are authorized to access through their assigned program membership and role.

Unauthorized access, disclosure, sharing, or misuse of patient information is strictly prohibited.

7. Acceptable Use

You agree not to:

  • use the Service for unlawful purposes;
  • access information without authorization;
  • share account credentials;
  • impersonate another person or organization;
  • upload malicious software or harmful code;
  • interfere with the operation or security of the Service;
  • submit intentionally false, misleading, or fraudulent information; or
  • attempt to circumvent access controls or security mechanisms.

We may suspend or terminate access for violations of this section.

8. Intellectual Property

The Service, including its software, design, trademarks, logos, documentation, and related materials, is owned by Blue Commons or its licensors and is protected by applicable intellectual property laws.

Users retain ownership of information and content submitted through the Service.

You grant Blue Commons a limited right to store, process, transmit, and display such information solely for the purpose of operating, securing, improving, and supporting the Service.

9. Service Availability

We strive to maintain reliable access to the Service but do not guarantee uninterrupted availability.

The Service may be modified, suspended, restricted, or discontinued at any time.

Because Welnote operates in environments with limited connectivity, synchronization delays, outages, data transmission failures, and temporary service interruptions may occur.

Users are responsible for maintaining appropriate operational procedures and backups where necessary.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Blue Commons disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and reliability.

Blue Commons does not guarantee:

  • uninterrupted operation;
  • data availability;
  • successful synchronization;
  • healthcare outcomes;
  • clinical accuracy; or
  • suitability for any specific medical, legal, regulatory, or operational purpose.

11. Limitation of Liability

To the maximum extent permitted by law, Blue Commons shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Service.

Blue Commons shall not be responsible for:

  • clinical decisions;
  • patient outcomes;
  • actions or omissions of healthcare professionals;
  • actions or omissions of field workers;
  • actions or omissions of participating organizations;
  • connectivity failures;
  • device failures;
  • data loss caused by third-party services; or
  • interruptions resulting from circumstances beyond our reasonable control.

In no event shall Blue Commons' total liability arising from or relating to the Service exceed the amount paid by the affected user or organization to Blue Commons during the twelve (12) months preceding the event giving rise to the claim, or USD $100 if no fees were paid.

12. Suspension and Termination

Blue Commons may suspend or terminate access to the Service at any time if:

  • these Terms are violated;
  • account information is inaccurate;
  • security concerns arise;
  • required verifications are not completed; or
  • continued access presents legal, operational, or safety risks.

Termination does not relieve users of obligations that arose before termination.

13. Changes to the Service and Terms

We may modify the Service or these Terms from time to time.

Updated Terms become effective upon publication on the Welnote website or within the Service.

Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Tokyo, Japan.
